Terms of Service

These Terms of Service ("Terms") govern your access to and use of Locuvera, a location experience intelligence platform operated by GrowthPro Africa ("GrowthPro Africa", "we", "us", "our", RC 8998802). By creating a workspace, signing up for a free trial, or otherwise using Locuvera, you agree to be bound by these Terms.

1 The Service

Locuvera is a multi-tenant SaaS platform that enables organizations to assess, score, and certify the experience delivered at their physical locations (branches, stores, outlets), and to track and resolve issues identified during those assessments. Each organization operates within its own isolated "workspace."

2 Accounts & Workspaces

• You must provide accurate, current information when creating a workspace or accepting an invitation to join one.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• The individual who creates a workspace is designated its Workspace Super Admin and may invite additional users under the roles supported by the platform (Workspace Admin, Assessor, Resolver).
• GrowthPro Africa reserves the right to suspend or terminate a workspace that violates these Terms or is used for unlawful purposes.

3 Free Trial & Subscriptions

• New workspaces receive a 15-day free trial with full feature access and no credit card required.
• At the end of the trial period, continued access requires an active subscription. If a workspace's trial expires without activation, access to the platform's data-entry features may be restricted until the subscription is activated, extended, or upgraded by GrowthPro Africa.
• Subscription fees, billing cycles, and payment terms will be communicated separately and are governed by the order form or agreement signed with GrowthPro Africa.

4 Acceptable Use

You agree not to:

• Use the platform to store or transmit unlawful, infringing, or harmful content
• Attempt to access another workspace's data without authorization
• Reverse-engineer, decompile, or attempt to extract the source code of the platform
• Interfere with or disrupt the integrity or performance of the platform or its infrastructure
• Use automated means to scrape or extract data beyond what is provided through authorized exports (CSV)

5 Your Data

You retain all rights to the data you and your team submit to your workspace (assessment responses, issue records, evidence photos, and related content — "Workspace Data"). We will not use your Workspace Data for any purpose other than providing and improving the Service, as described in our Privacy Policy. You are responsible for ensuring you have the necessary rights to submit any data (including photos) uploaded to the platform.

6 Intellectual Property

Locuvera, its underlying software, scoring methodology, branding, and all related intellectual property are owned by GrowthPro Africa. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as necessary to use the Service as intended.

7 Service Availability

We aim to keep Locuvera available and performant but do not guarantee uninterrupted access. We may perform maintenance, updates, or changes to the Service from time to time, with reasonable notice where practical for material changes.

8 Limitation of Liability

To the maximum extent permitted by law, GrowthPro Africa shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of, or inability to use, the Service. Our total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim.

9 Termination

You may cancel your workspace subscription at any time. We may suspend or terminate access to the Service for breach of these Terms, non-payment, or unlawful use. Upon termination, we will provide a reasonable opportunity to export your Workspace Data before deletion, except where legally prohibited.

10 Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. We will post the updated Terms here with a new effective date and, for material changes, notify registered users via email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

11 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.
